Welcome to your EquityGateway website. Please read carefully the
following terms and conditions that govern your use of this site.
- You hereby understand and agree that this site is not intended
to provide investment advice or tax advice to any extent to you or any other
person or entity.
- Global Shares Ireland Limited (“Global Shares”) and its
affiliates make no representation of tax consequences of any transaction
conducted via the website. Global Shares recommends you contact your tax advisor
prior to making any online transaction requests.
- Global Shares may discontinue or change at any time any of the
services available through the site.
- You agree to maintain the confidentiality of your username and
password and to notify Global Shares in the event your username and password
are lost or stolen or you become aware of an unauthorised use or transfer of
your username and password. Global Shares will not be financially responsible
for any costs or damages caused to you by the loss theft or the unauthorised
use or transfer of your username and password unless such loss theft or
unauthorised use is directly and immediately caused by our negligence, bad
faith or wilful misconduct.
- You agree to review any report or another document we may send
to you relating to your equity awards and/or stock information within ten
calendar days of receipt and to notify us within that ten day period whether
such document(s) is/are incorrect or incomplete. Your failure to notify Global
Shares within such ten day period will result in a waiver by you to assert any
claim against us based on such document[s].
You agree and acknowledge that the majority if not all of the notices related
to your participation as an equity participant and/or ownership of your
employer company’s stock will be
made by Global Shares via email. You agree to maintain a current email address
with Global Shares and any change in the email address must be communicated to
us or you risk not receiving important notifications.
- You agree to receive all notices given by the Global Shares
under any provision of the law, the Certificate of Incorporation or Memorandum
and Articles of Association of your employer company or related to your
participation in the equity and/or stock programs via email including but not
limited to the following electronic notices as applicable: exercise/RSU
confirmations, stock redemptions, notice of issuance of warrants, stock
transfers, and proxy voting.
- You agree to indemnify and hold Global Shares harmless for any
tax penalties interest claims expenses (including legal fees) or any other
costs or losses that you may incur caused by or related to the use of or
reliance upon in any manner information or grants contained or reflected on
this site.
- You agree to indemnify and hold Global Shares harmless for any
claims losses or expenses (including legal fees) it incurs as a result of your
failure to comply with these terms and conditions or for any unauthorised use
of this site. You also agree that under no circumstances will Global Shares be
responsible for consequential incidental special or punitive damages (even if
such damages could reasonably be foreseen) or for any loss caused by events,
not within our control. Global Shares has taken reasonable steps to provide a
secure environment for your personal information on the EqutiyGateway website.
However given the fact that the internet is a public network not controlled by
Global Shares cannot guarantee the confidentiality or security of such
information.
- Global Shares has taken all reasonable steps to provide a secure
environment for your personal information and to protect the information from
loss, misuse and unauthorised access disclosure alteration and destruction on
the site. However, Global Shares is not responsible for the accuracy or
reliability of messages sent or received by e-mail over the internet as it is a
public network.
- Voting. If as a participant in an employee share plan you have
been provided with the facility to electronically instruct the Trustee of the plan
as to how to vote on your behalf in accordance with the rules of your employee
share plan, you may do so by using the online voting task specific to your
plan. Your vote shall only be valid if it is unconditional, correctly
completed, submitted and received via this site on or before the date specified
within the voting task. If the voting task is found not to comply with these
requirements, the Trustee and/or Global Shares reserve the right to treat any
such vote as invalid. In the event that more than one vote is received by
Global Shares (via any medium) then the last relevant and valid vote received
shall override all previous directions. Global Shares accepts no liability for
a vote which is received after the due date or which is accepted or rejected by
it in good faith.
- This site is operated and resides on servers located within the UK,
but can be accessed from jurisdictions whose laws may differ from those of the UK.
By accessing the site you agree that the laws of England and Wales, without
regard to conflicts of law provisions, will apply to all matters arising out of
or in connection with the site. You also agree to submit to the exclusive
personal jurisdiction and venue of the courts of England and Wales with respect
to such matters.
